7. Charges and Payment of Fees
The PDFShift.io service is a Software-as-a-Service application that is offered in both free and paid versions. The free version offers only some of the features and benefits of the PDFShift.io service; by subscribing to the free version you agree to be bound by all provisions of these Terms of Service except those relating to payment and billing. To obtain the full benefit of the PDFShift.io service, you must subscribe to the paid version of the PDFShift.io application, which is offered as either a monthly or an annual subscription. If you choose a monthly account for the Service, subscription fees will be paid monthly in advance on the first day of each calendar month by charging your Stripe® account. This Agreement may not be assigned by you without the prior written approval of PDFShift.io but may be assigned without your consent by PDFShift.io to (i) a parent or subsidiary, (ii) an acquirer of assets, or (iii) a successor by merger. Any purported assignment in violation of this section shall be void. Any actual or proposed change in control of you that results or would result in a direct competitor of PDFShift.io directly or indirectly owning or controlling 50% or more of you shall entitle PDFShift.io to terminate this Agreement for cause immediately upon written notice.
24. Dispute Resolution
In the event of a Dispute between you and PDFShift.io (including any dispute over the validity, enforceability, or scope of this dispute resolution provision), other than with respect to claims for injunctive relief, the Dispute will be resolved by binding arbitration pursuant to the rules of the International Chamber of Commerce. The place of the arbitration shall be in Paris, France. In the event that there is any Dispute between you and PDFShift.io that is determined not to be subject to arbitration pursuant to the preceding sentence, you agree to submit in that event to the exclusive jurisdiction and venue of the courts of France located in Paris. You agree that this Agreement and the relationship between you and PDFShift.io shall be governed by the laws of France without regard to conflict of law principles or the United Nations Convention on the International Sale of Goods. Notwithstanding this, either party shall still be allowed to apply for injunctive or other equitable relief to protect or enforce that party’s Intellectual Property Rights in any court of competent jurisdiction where the other party resides or has its principal place of business.
25. Class Action Waiver
Any proceedings to resolve or litigate any Dispute in any forum will be conducted solely on an individual basis. Class arbitrations, class actions, private attorney general actions, consolidation of your Dispute with other arbitrations, or any other proceeding in which either party acts or proposes to act in a representative capacity or as a private attorney general are not permitted and are waived by you, and an arbitrator will have no jurisdiction to hear such claims. If a court or arbitrator finds that the class action waiver in this section is unenforceable as to all or some parts of a Dispute, then the class action waiver will not apply to those parts. Instead, those parts will be severed and proceed in a court of law, with the remaining parts proceeding in arbitration. If any other provision of this Dispute resolution section is found to be illegal or unenforceable, that provision will be severed with the remainder of this section remaining in full force and effect.

If any provision of this Agreement is held by a court of competent jurisdiction to be invalid or unenforceable, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the invalid or unenforceable provision(s), with all other provisions remaining in full force and effect. No joint venture, partnership, employment, or agency relationship exists between you and PDFShift.io as a result of this agreement or use of the Service. The failure of PDFShift.io to enforce any right or provision in this Agreement shall not constitute a waiver of such right or provision unless acknowledged and agreed to by PDFShift.io in writing. This Agreement, together with any applicable Order Form and policies, comprises the entire agreement between you and PDFShift.io and supersedes all prior or contemporaneous negotiations, discussions or agreements, whether written or oral, between the parties regarding the subject matter contained herein.
